What is the Appropriate Transaction?

Once we are clear on the growth potential of a business, we work with managers to structure equity, debt and incentives that best suit the growth potential of the business.

Example transactions:

Buyouts
We will purchase a business in its entirety as long as the core management team is in place and committed. The management team will receive clear and attainable incentives that relate to our agreed upon goals

Leveraged Buyouts by Management Teams
Often a management team wants to purchase a business or division from the owner. We will work with that team to put in place the best capital structure for the transaction.

Consolidations
We look for and encourage consolidations in our areas of interest and will work with owners or managers to acquire a platform company as a base for the execution of the acquisition strategy. We arrange the financing for both the acquisition of the platform and the consolidations.

Recapitalizations
We work with Managers to structure a recapitalization of a business.

 

What kind of companies do we look for?

  • Profitable
  • Have an experienced management team who is committed to partnering with us and building the business.  
  • Clear opportunity for growth.
  • Have a significant market share in a niche or region.

We look for companies with revenues from 5 million to 500 million in a segment of an industry that is clearly growing.

We look for companies whose management is committed to continuous improvement in margins and increase in the enterprise value.

We look for platforms that can be the keystone to growth by acquisition.

We will invest as little as 1 million and as much as 40 million in the right company.

Within these companies we look for managers. People who have integrity. People who understand that collaboration breeds the best ideas. People who communicate constantly. People who understand that we respect and value every employee from the guy on the loading dock to the CEO. Every one counts. Everyone contributes to a winning team.

We will invest in Business process outsourcing companies for Physicians, Hospitals, of government bodies. Special emphasis on medical billing companies.

Manufacturing
We will invest in manufacturing companies; with proprietary engineered products.

Food Industry
We will invest in Food Processing companies or Food distribution companies with special emphasis on the Food Service Industry.

Technology
We will invest in software, hardware or service companies that have a track record for customer satisfaction.  

Travel & Leisure
We will invest in travel related service companies.

 

Investment Strategy

DARR is a middle market investment firm that invests in or with established businesses that have substantial growth opportunities. These established businesses act as strategic partners and can range from a large corporation to a small private company as long as they have a unique market position or strategic assets. DARR may invest directly in a parent company, or spin-off, but in all cases seeks to have the strategic partner as a significant shareholder and to leverage their assets, e.g. customers, distribution channels, brand recognition, relationships, and domain expertise. We invest in companies that range in size from 5 million in revenue to 500 million.

We have simple criteria for our investments.
